1. Purpose of Agreement

ToupTek Photonics seeks to promote its ToupTek Astro brand products through a network of trusted affiliates. This agreement outlines the terms under which the Affiliate will promote these products and receive compensation.

2. Affiliate Responsibilities and Rights

•Promotion of Products: The Affiliate agrees to promote ToupTek Astro products in an positive, honest and effective manner.
•Exclusive Links: ToupTek Photonics will provide the Affiliate with exclusive, trackable links. Sales generated through these links will be partly attributed to the Affiliate.
•Product Requests: ToupTek Astro kommer regelbundet att tillhandahålla nya Astro-produkter till affiliates. Affiliates kan även begära specifika produkter från ToupTek för marknadsföringsändamål, under förutsättning av godkännande från ToupTek Photonics. Alla utvärderingsprover måste returneras till ToupTek sex månader efter leverans.

3. Compensation

•Commission Structure: Affiliated companies shall be entitled to a commission of up to 20% (pre-tax) for the exclusive sale of ToupTek Astro products through their dedicated links on the independent website www.touptekastro.com.
•Reporting: ToupTek Photonics will provide monthly reports detailing sales and commissions earned by the affiliate The report will be generated 7 days after the end of last month.

4. Confidentiality

•Non-Disclosure of Agreement Details: The Affiliate agrees to maintain the confidentiality of all aspects of this agreement, including but not limited to commission rates, marketing strategies, and other proprietary information.
•Prohibition of Information Sharing: The Affiliate is strictly prohibited from disclosing, sharing, or disseminating any information pertaining to the terms and conditions of this agreement to any third party without the express written consent of ToupTek Photonics.
•Obligation to Protect Confidential Information: The Affiliate shall take all necessary steps to protect the confidentiality of the agreement and prevent any unauthorized use or disclosure thereof.

5. Benefits to Affiliate

•Collaboration with ToupTek: We aim for building a community of partners who are not only interested in the brand of ToupTek Astro, but also seek active collaboration and mutual growth with ToupTek Astro.
•Growth Opportunity: This affiliate system provides a valuable opportunity for the Affiliate to grow their audience and income through collaboration with a respected brand.
•Product Accessibility: Regular access to ToupTek products will enable the Affiliate to create authentic and engaging content.

6. Term and Termination

This agreement is effective from the date of signing and will continue until terminated by either party with written notice.

7. General Terms

•Compliance with Laws: Both parties agree to comply with all applicable laws and regulations.
•Modification of Terms: This agreement can only be modified in writing and agreed upon by both parties.
